NON DISCLOSURE AGREEMENT (NDA)
This Non-Disclosure Agreement (the “Agreement”) is entered into as of Date, between TMS Protect Security Company, a security personnel provider company incorporated under the laws of [Jurisdiction], with its principal place of business at [Address] (hereinafter referred to as the “Employer”), and the employees of TMS Protect Security Company (hereinafter referred to as the “Employee”).
WHEREAS, the Employee will have access to confidential and proprietary information belonging to the Employer in the course of their employment;
WHEREAS, the Employer desires to protect its proprietary information and maintain its confidentiality; and
WHEREAS, the Employee acknowledges that any unauthorised disclosure or use of the Employer’s proprietary information would cause significant harm to the Employer.
NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein, the parties agree as follows:
- Confidential Information: The Employee agrees to hold in strict confidence and not to disclose or use, either during or after their employment with the Employer, any confidential or proprietary information, trade secrets, business plans, client lists, financial data, technical specifications, software, or any other information designated by the Employer as confidential (collectively referred to as “Confidential Information”), except as required in the course of their employment.
- Non-Disclosure: The Employee agrees not to disclose any Confidential Information to any third party without prior written consent from the Employer. This includes but is not limited to discussing or disseminating Confidential Information in person, through electronic means, or through any other medium.
- Use of Confidential Information: The Employee agrees not to use any Confidential Information for their own benefit or for the benefit of any other individual, entity, or organisation, except as required in the course of their employment with the Employer.
- Return of Confidential Information: Upon termination of their employment with the Employer, the Employee shall promptly return to the Employer any documents, records, or other materials containing or relating to Confidential Information, including any copies or reproductions thereof.
- Remedies: The Employee acknowledges that unauthorised disclosure or use of Confidential Information may cause irreparable harm to the Employer. Therefore, in the event of a breach or threatened breach of this Agreement, the Employer shall be entitled to seek injunctive relief, in addition to any other legal remedies available to it.
- Survival: The obligations and restrictions set forth in this Agreement shall survive the termination of the Employee’s employment with the Employer and shall remain in full force and effect thereafter.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
- Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of the Effective Date.
